Flusso Technologies Ltd provides software, technology and business solutions, which may include:
• Custom software development
• Stock and inventory systems
• Workflow and process improvement tools
• Business management systems
• Software setup and support
• Technology consulting
• Prototypes, demos and pilot projects
The exact service provided to a client will be agreed separately in writing through a proposal, order form, invoice, statement of work or signed agreement.3. Proposals and quotes
Any quote or proposal we provide is based on the information available at the time.
If the client requests extra features, changes, integrations, data migration or additional support, this may require an updated quote.
A project is not confirmed until both parties agree the scope and payment terms in writing.4. Payments
Payment terms will be agreed with the client before work begins.
Payments may include:
• One-off setup fees
• Project fees
• Monthly licence or support fees
• Maintenance fees
• Custom development fees
Unless agreed otherwise, setup fees or project deposits are payable before work begins.
Monthly fees must be paid on time using the agreed payment method, such as bank transfer, standing order, Direct Debit or card payment.5. Monthly services and cancellation
Where a client pays a monthly licence, support or service fee, the client receives access to the agreed service while payments are active.
Cancellation terms will be agreed in the client’s proposal or service agreement.
If a client cancels or stops paying, Flusso Technologies Ltd may suspend access to support, updates, hosted services, licences or related services.6. Software ownership and intellectual property
Unless agreed otherwise in writing, Flusso Technologies Ltd owns all software, source code, designs, database structures, documentation, branding, product concepts, workflows and intellectual property created by or for Flusso Technologies Ltd.
Clients receive a limited, non-exclusive licence to use the agreed software or service for their own internal business operations.
Clients must not copy, resell, reverse engineer, redistribute, reproduce, publish or modify the software without written permission from Flusso Technologies Ltd.7. Client data
The client owns their own business data.
The client is responsible for ensuring that any data they provide to Flusso Technologies Ltd is accurate, lawful and suitable for the agreed purpose.
Where software is installed locally on the client’s own system, the client is responsible for maintaining access to their device, files, database and backups unless a separate backup or hosting service is agreed in writing.8. Support
Support will be provided according to the agreed package or proposal.
Support may include:
• Help with setup
• Bug fixes
• Basic guidance
• Minor configuration help
• Troubleshooting
Support does not include unlimited new features, major redesigns, custom development or third-party system fixes unless agreed separately.9. Client responsibilities
The client agrees to:
• Provide accurate information
• Cooperate during setup, testing and support
• Pay agreed fees on time
• Keep login details and systems secure
• Back up their own data unless backup services are agreed
• Use the software or services lawfully
• Not misuse, copy or resell Flusso Technologies software or materials10. Third-party services
Some services may rely on third-party platforms, payment providers, hosting providers, email services, operating systems or software tools.
Flusso Technologies Ltd is not responsible for faults, downtime, price changes or policy changes caused by third-party providers.11. Limitation of liability
Flusso Technologies Ltd will take reasonable care when providing services.
However, we are not liable for indirect losses, loss of profit, loss of business, loss of data, loss of revenue, business interruption or issues caused by incorrect client data, client misuse, third-party services, hardware failure or lack of backups.
Nothing in these terms limits liability where it would be unlawful to do so.12. Confidentiality
Both parties agree to keep confidential information private and not disclose it to third parties without permission, unless required by law.
Confidential information may include business plans, software designs, source code, pricing, customer information, supplier information, technical documents and commercial information.13. Changes to services
Flusso Technologies Ltd may improve, update or change its services over time.
For active client projects, any significant changes to agreed scope, pricing or deliverables will be discussed with the client.14. Governing law
